Artes liberales, 86 119-130, Jun 25, 2010１ 上場会社にかかるMBOを目的とする株式公開買付けにおける全部取得条項付種類株式の会社法172条1項にいう取得の価格(公正な価格)について，株式の客観的価値は同株式の取得日における株式市場価格(株価)によるものとし，これに相当のプレミアムを加えた価格とするのを相当とした事例 ２ 相手方会社の株式については，上記取得日に近接した時点で上場が廃止されたから，その時点での株価を当該株式の客観的価値とすべきところ，本件においては経営陣により株価を安値に誘導する工作が行われた疑いがあることを考慮し，公開買付けが発表された日の1年前の株価に近似する価格を客観的価値とした事例 ３ 公開買付けにおける上記プレミアムを20％とした事例
